Terms and Conditions​

1. Introduction Welcome to EyeCareX. These Terms & Conditions ("T&C") govern your use of our services, including our mobile application, website, and any associated technologies. By accessing or using our services, you agree to be bound by these terms. If you do not agree with any part of these T&C, please discontinue use of our services immediately.

2. Acceptance of Terms By using EyeCareX’s services, you confirm that you have read, understood, and agreed to these Terms & Conditions, including our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have the authority to bind the organization to these terms.

3. Definitions

  • "Users" refers to any individual accessing EyeCareX’s services, including:

    • Patients: Individuals using EyeCareX for personal eye assessments and AI-driven insights.

    • Healthcare Professionals: Licensed providers (e.g., optometrists) using EyeCareX to review patient data, AI assessments, or make clinical decisions.

4. Confidentiality and Non-Disclosure EyeCareX utilizes proprietary technologies, artificial intelligence models, and confidential methods to analyze eye health. By using our services, you acknowledge and agree to the following confidentiality obligations:

a. Any information related to EyeCareX’s technology, algorithms, software, processes, business strategies, and research data is considered confidential and proprietary.

b. You agree not to copy, modify, reverse-engineer, distribute, or disclose any proprietary information obtained through our services to any third party.

c. Unauthorized use or disclosure of EyeCareX’s confidential information may result in legal action.

5. User Responsibilities and Indemnification You agree to use EyeCareX’s services responsibly and in compliance with applicable laws. In particular, you shall not:

a. Submit false or misleading information.

b. Use the service for any unlawful, unethical, or unauthorized purposes.

c. Attempt to access or interfere with our systems without authorization.

d. Patients acknowledge that EyeCareX provides informational assessments only and does not replace professional eye care or treatment.

e. Healthcare Professionals acknowledge that they are solely responsible for clinical decisions based on any information provided by EyeCareX.

f. Users are responsible for maintaining the security of their personal devices and account credentials. EyeCareX is not liable for unauthorized access resulting from lost, stolen, or compromised devices or passwords.

g. Users may request to close their EyeCareX accounts and delete associated personal data by contacting info@eyecarex.com. However, certain data may be retained if required by law or for research purposes (see Privacy Policy). Anonymized data used for AI training cannot be deleted.

h. You agree to indemnify, defend, and hold harmless EyeCareX, its affiliates, employees, officers, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from: - Your use of our services. - Violation of these Terms & Conditions. - Infringement of any rights of a third party.

6. Intellectual Property Rights All content, software, and technology used in EyeCareX’s services, including AI models, databases, and images, are owned or licensed by EyeCareX and protected under intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to use our services solely for their intended purpose.

7. Data Collection, Privacy, and AI Model Training Your use of EyeCareX’s services is subject to our Privacy Policy, which outlines how we collect, store, and use your information, including images of your eyes and face, as well as other data collected through our platform. By using our services, you consent to our data collection and usage practices as described in the Privacy Policy.

By using EyeCareX’s services, you consent to the collection and use of your data, including images of your eyes and face, for research and AI model training. Once anonymized and incorporated into training models, this data may not be individually removed.

8. Limitations of Liability and Assumption of Risk

a. EyeCareX provides its services "as is" and makes no warranties, express or implied, regarding accuracy, reliability, or fitness for a particular purpose.

b. EyeCareX is not responsible for any medical, legal, or other decisions made based on the use of our services.

c. In no event shall EyeCareX be liable for any direct, indirect, incidental, or consequential damages arising from the use of our services.

d. Users acknowledge that EyeCareX does not provide medical diagnoses or treatment. Any information provided is for research and informational purposes only and should not be relied upon as medical advice. Users should consult a qualified healthcare professional for medical concerns.

e. AI-Based Assessment Disclaimer: EyeCareX’s AI tools are intended to support but not replace clinical judgment. AI models may have limitations, including inaccuracies or biases in data interpretation. Healthcare professionals are responsible for verifying AI-generated insights before making any clinical recommendations.

f. Emergency Disclaimer: EyeCareX is not a substitute for emergency medical care. If you are experiencing a medical emergency, please contact a healthcare professional or emergency services immediately.

g. No Doctor-Patient Relationship: Use of EyeCareX’s services does not establish a doctor-patient relationship. The platform is not intended to replace professional medical advice, diagnosis, or treatment by a licensed healthcare provider.

h. Service Availability Disclaimer: EyeCareX does not guarantee that its services will be available at all times, uninterrupted, or error-free. While EyeCareX will make best efforts to maintain service availability, users acknowledge that service disruptions may occur due to maintenance, security issues, or unforeseen technical problems.

9. Third-Party Services EyeCareX may integrate with third-party platforms (e.g., electronic medical record systems, cloud storage). Users acknowledge that these services are governed by their own terms, and EyeCareX is not responsible for data breaches, service failures, or legal obligations of third-party services.

10. Force Majeure EyeCareX shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, pandemics, cyberattacks, or governmental actions.

11. Governing Law and Dispute Resolution These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Canada. Any disputes shall be resolved in the jurisdiction of British Columbia, Canada.

a. Class Action Waiver & Arbitration Clause: By agreeing to these Terms & Conditions, you waive any rights to participate in a class action lawsuit against EyeCareX. Any disputes must be resolved on an individual basis.

b. Any disputes arising from these Terms & Conditions shall be resolved through binding arbitration under the British Columbia Arbitration Act. Users waive their right to pursue legal action in court, except for matters eligible for small claims court.

12. Modifications to Terms Users will be notified via email or a notice on the website when updates are made to these Terms & Conditions.
